Professor Charles M. Elson

Tales of Facebook and Tesla and the Future of Shareholder Rights

 

With a number of “controlled companies,” such as Tesla, Facebook, SNAP, or
CBS in the news, the question has been raised as to how this structure
impacts investor protection.  Professor Elson will examine the governance
issues in public companies that have dual class shares or bylaw structures
that concentrate control over board elections in the hands of a major
shareholder and how investors, and, ultimately, Delaware, should respond.
